1. Agreement to terms

These Terms of Service ("Terms") govern your use of services provided by Vertiswitch LLC ("we," "us," or "our"), including IT support, cybersecurity, web design, build, and managed hosting (collectively the "Services"). Vertiswitch LLC also operates under the trade name "NexusCoreCloud."

By engaging us or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, do not use the Services.

2. Description of service

We provide the following services to small and mid-sized business clients:

• Custom website design, build, and integrations
• Managed website hosting with automatic HTTPS, content delivery, and automated backups
• Domain management and SSL certificate provisioning
• Performance and uptime monitoring
• IT support, endpoint security, backup & recovery, and remote support
• Customer support and ongoing maintenance per your hosting plan

3. User accounts

Account creation

To use certain features of our Services or manage your site through our customer portal, you must register for an account. You agree to provide accurate, current, and complete information during registration.

Account security

You are responsible for:

• Safeguarding your account password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Keeping your account information accurate and current

Account suspension or termination

We may suspend or terminate your account for violations of these Terms, non-payment, or other reasonable business purposes. Where possible we will provide notice and an opportunity to cure.

4. Plans, billing, and payment

Plans

Our services are offered through fixed-price project engagements (web design) and monthly hosting plans (Basic, Business, Advanced). Plan inclusions are listed on our pricing page and confirmed in your written proposal.

Billing

• Project fees are billed per the schedule in your written proposal (typically a deposit on signing and the balance at launch)
• Hosting fees are billed monthly in advance
• All fees are non-refundable except as required by law or as set out in your proposal
• Failed payments may result in service suspension after notice
• Material price changes for ongoing hosting will be communicated at least 30 days in advance

5. Acceptable use

Permitted use

You may use our Services for lawful business and personal purposes consistent with these Terms.

Prohibited activities

You may not use the Services to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Distribute malware, viruses, or harmful code
• Engage in spam, phishing, or fraudulent activities
• Upload or distribute illegal, harmful, or offensive content
• Interfere with or disrupt the Services or our infrastructure
• Attempt to gain unauthorized access to our systems or other customers' sites
• Use the Services to develop, train, or operate a directly competing offering

6. Content and intellectual property

Your content

You retain full ownership of content you provide to us or that we create on your behalf as part of an engagement, including the website code, design files, copy, and assets we deliver. By using the Services, you grant us a license to host, store, and display that content as necessary to provide the Services.

Our content

Our marketing site, brand, internal tooling, documentation, and any reusable templates are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission, except as expressly authorized in your proposal.

DMCA compliance

We respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright, please contact us with detailed information and we will investigate.

7. Privacy and data protection

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Services, you consent to the collection and use of information as outlined in that policy.

8. Service availability and support

Hosting availability

We aim for high availability and announce scheduled maintenance in advance when possible. Maintenance is typically performed during low-traffic windows.

Support response

Support is provided according to your active hosting plan. Standard response targets:

• Basic plan: Email response within 1 business day
• Business plan: Email response within 4 business hours during normal business hours (M–F, 9am–6pm ET)
• Advanced plan: Custom support arrangements as documented in your written proposal

Specific commitments, including any after-hours coverage, are documented in your written proposal and prevail over the targets above.

9. Limitation of liability

To the maximum extent permitted by law:

• The Services are provided "as is" without warranties of any kind, express or implied
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total cumulative liability arising from or related to the Services is limited to the amount you paid us for the specific Service in the 12 months preceding the claim
• We are not responsible for outages or losses caused by third-party services or content beyond our reasonable control

10. Indemnification

You agree to indemnify and hold Vertiswitch LLC harmless from claims, damages, and expenses arising from your use of the Services, your content, your violation of these Terms, or your infringement of third-party rights.

11. Termination

Termination by you

You may cancel a hosting plan at any time. Cancellation takes effect at the end of your current billing period. Project engagements are governed by the cancellation terms in your written proposal.

Termination by us

We may terminate your engagement for material breach of these Terms, non-payment, or other reasonable business purposes. We will provide written notice and, where appropriate, an opportunity to cure.

Effect of termination

Upon termination of a hosting engagement:

• Your access to managed-hosting features ceases
• Your site may be taken offline at the end of the billing period
• You will have a 30-day window to download your content, source files, and data export
• We may delete your data after the retention period set out in our privacy policy

12. Dispute resolution

Governing law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Ingham County, Michigan, except as set out below.

Informal resolution first

Before any formal dispute, the parties agree to attempt good-faith resolution by contacting hello@nexuscorecloud.com with the nature of the dispute and the resolution sought.

13. Changes to these terms

We may modify these Terms from time to time. We will notify active customers of significant changes via email or through the customer portal. Continued use of the Services after the effective date of revised Terms constitutes acceptance of those Terms.

14. Miscellaneous

Entire agreement

These Terms, together with your written proposal and our Privacy Policy, constitute the entire agreement between you and Vertiswitch LLC concerning the Services.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
